OWNERSHIP OF ABP

ABP is ultimately owned by ABP (Jersey) Limited (“ABPJ”), a limited liability company domiciled and incorporated in Jersey. ABPJ is owned by a consortium of private equity investors, which is comprised of Borealis, GIC, Goldman Sachs Infrastructure Partners and Infracapital Partners.

BOREALIS

Borealis is the infrastructure manager of the Ontario Municipal Employees Retirement System (OMERS), a Canadian multi-employer pension plan whose members are mainly employees of Ontario municipalities, local boards, public utilities and non-teaching school board staff. The fund has more than 380,000 active, former and retired members. The OMERS group manages and administers funds with net assets of approximately C$52 billion. Borealis holds its share of ABPJ through Borealis (Luxembourg) SCA and Borealis International Investments Corporation.

Borealis (Luxembourg) SCA and Borealis International Investments Corporation together own a 33.34% stake in ABPJ.

JM Rolland, President and CEO of Borealis Infrastructure, PJM Bloemen, a Vice President at Borealis Infrastructure and F Biro, an external director appointed by Borealis, have oversight of ABPJ on behalf of the two Borealis funds.

GIC

GIC is a global investment management company established in 1981 to manage Singapore’s foreign reserves. GIC invests internationally in equities, fixed income, money market instruments, real estate and special investments. Today, GIC manages assets of more than US$100 billion and strives to achieve long-term returns on assets under management to preserve and enhance Singapore’s reserves. GIC holds its share of ABPJ through Cheyne Walk Investment Pte Ltd.

Cheyne Walk Investment Pte Ltd has a 33.33% holding in ABPJ.

AE Seng, Executive Vice President of GIC Special Investments Pte Ltd, GPR Kay, Vice President of GIC (London Office) Pte Ltd and R. Walvis, an external director appointed by GIC, have oversight of ABPJ on behalf of Cheyne Walk Investment Pte Ltd.

GOLDMAN SACHS INFRASTRUCTURE PARTNERS

GS Infrastructure Partners I is an infrastructure fund (GSIP) managed by affiliates of The Goldman Sachs Group, Inc. GSIP invests in infrastructure and infrastructure-related assets and companies and focuses on investments in core infrastructure assets, particularly in the transportation and utilities sectors. The fund invests globally, but focuses on OECD markets, particularly Europe and North America. GSIP was raised in 2006 and has capital commitments in excess of $6.5 billion. GSIP holds its 23.33% share of ABPJ through Admiral Global & International Sarl and Admiral Institutional Sarl.

P Camu, Head of Europe for Goldman Sachs' Infrastructure Investment Group, and T Ferguson, Head of Asset Management for Goldman Sachs' Infrastructure Investment Group, have oversight responsibility of ABPJ on behalf of GSIP.

INFRACAPITAL PARTNERS

Infracapital Partners LP is an infrastructure fund managed by M&G Investment Management Limited, the European fund management arm of the Prudential Group.  Infracapital Partners LP was established to make investments in cash-generative infrastructure assets, including electricity and gas transmission and distribution networks, water and sewerage companies, and transport infrastructure including ports in Western Europe.

Infracapital holds its share of ABPJ through Infracapital Nominees Limited.  Infracapital Nominees Limited has a 10% stake in ABPJ.

JNS Cooper, a director specialising in Project and Infrastructure Finance for M&G Investment Management Limited, has oversight of ABPJ on behalf of Infracapital Nominees Limited.
